Some Controversial Issues of the Limited Liability Companies Regulated by the Companies Act

Summary/Abstract: The regulation of a limited liability company is important since this legal form is often the first choice for conducting economic activity. The manner of regulation of limited liability company can simplify conducting business activities in this legal form or make it even more difficult. The new Companies Act regulates a limited liability company in more detail than the previous one. The question is, however, to what extent the legal solutions are in line with the legal nature of this legal form, as well as whether they have provided a greater degree of legal certainty, which is one of the priorities of the new Companies Act. The aim of this paper is to provide an answer to these questions, by analyzing certain provisions of the Companies Act, which seem to be theoretically and practically important.
