Balancing the Non-compete Clause in Commercial Agency

Summary/Abstract: This article examines whether parties of commercial agency contract are required to agree on compensation of non-compete clause when such clause is included in the contract. In adition to discussing the duty to compensate as it pertains to non-compete clause, the author analyzes advantages and disadvantages of possible methods of compensation and examines the role of special indemnity in balancing a non-compete clause. Finally, the author considers the question of reasonableness of compensation.
