Summary/Abstract: When making investment decisions investors increasingly take into account the degree to which companies adhere to the basic principles of corporate governance. Countries that want to reap the full benefits of the global capital market and attract foreign investors must provide convincing and understandable regime of corporate governance and comply with internationally recognized principles. This article discusses the changes in regulation of companies in order to determine its effects on the practice of corporate governance in Bosnia and Herzegovina. For this purpose, previous and new provisions of the laws, as well as their compliance with the recommendations and standards of supranational regulation, the OECD Principles of Corporate Governance primarily, have been analysed. New regulations are set in connection with the situation in practice with the help of the analysis results of earlier research on the level of corporate governance performance in Bosnia and Herzegovina and its entities. There were significant shortcomings, which confirm the hypothesis on the state of corporate governance and new problems that the legal changes imply. Article concludes that there is a political consensus in Bosnia and Herzegovina on the accession to the European Union, but there are not adequate awareness and capacity for the necessary legal compatibility with the European Union.
