Summary/Abstract: This study is a presentation of the business judgment rule, which takes into account acting within the framework of legitimate economic risk as one of the prerequisites for the possibility of excluding legal liability for damage to a capital company. It is also worth noting that this rule is presented as a reference point in assessing the elements of the crime of mismanagement.
