POSITIVE LEGAL ISSUES OF THE LAW ON FINANCIAL CONSOLIDATION OF BUSINESS COMPANIES FBiH 2014.

Summary/Abstract: According to the existing (un)opportunities in the economy of Bosnia and Herzegovina (hereinafter: BiH), there was a need for standardization, i.e. by the adoption of new legal regulations in the field of survival and continuation of work/business of commercial companies. Thus, despite the existence of the Law on Bankruptcy Procedures of the FBIH and the Institute for the Reorganization of Business Companies that treats it, the conclusion was reached that in the ultimate interaction of the existence of a business, that same institute cannot obtain, nor offer any new and better practical solutions for the successful rehabilitation of the same. Therefore, and due to this general state of the economy and the deteriorating performance of very important companies, the state decided to intervene in this area through the adoption and implementation of the current Law on Financial Consolidation of Companies in the FBiH (hereinafter: ZFKPD FBIH). The aforementioned law, through the application of the Elaborate (which is sui generis for every business company), reserves a large part of the competence and control, as well as the responsibilities of the line ministries in the field of economy. In addition, the same applies both to those companies with a majority share of state capital, as well as those with a 100% ratio of capital in commercial ownership, which we consider to be a great advantage. In the context of the above, the largest part of this paper refers to the essential part of the positive legal issues regulated by the FBiH Civil Code.
