Summary/Abstract: Concept of capital appears in L. Pacioli’s paper, a scientist who covers all the knowledge of his time. In XV century there is not such a science as economics, and bo-okkeeping were simply an arithmetic applications. Basic accounting equation or duality principle did separate this domain differentiating material resources from homogenise medium inside them. Now we can discern that this medium has all features of energy, indispensable for all beings physical and legal as well. Capital is energy and it is conce-ivable now why economists were not able to understand this category. Thermodynamic as theory and concept of entropy, which explains the very nature of energy, was not in existence yet. Theory explains that whenever we are dealing with matter and energy is it biology, economy or the use of natural resources, we must take into account the second law of thermodynamics. This law states that the level of disorder (entropy) in an enclosed system can not decrease and that one has to spend energy to decrease disorder in any part of the system. The conclusion can be drawn that good market has to price an entrepre-neur with risk premium in order to equalise destructive tendencies being the very feature of reality. Model of capital involves both forces and is a source for income modelling.
