Summary/Abstract: The financial investment companies (FIC) founded by the Law no. 133/1996, analysed form the point of view of the Law no. 297/2004. This study is dedicated to a certain type of institutional investors that act on the Romanian capital market since 1997, and that are the result of the finalizing of the free privatization process, a process that started in Romania since 1991. The nature and legal behaviour of the Financial Investment Companies (F.I.C) has been subject, and still is for that matter, to many controversies and feverish debate. The new legislation regarding the capital market - mainly the Law concerning the market of capital nr. 297/2004 - has not completely solved the organisation and functional issues that these investors had. Therefore we consider that there is dire need for new legislation adapted to the new mechanisms of the capital markets from Romania. This study is following another similar study published earlier by the same author in the "Revista de drept comercial" (Romanian Magazine for Commercial Law) no. 4/2004.
