Summary/Abstract: Over the past twenty years, driven either by financial scandals and corporate collapses, or the socio-economic crisis (more or less) globalized, corporate law - primarily corporate law, in particular in the field of corporate governance (corporate governance) - arise, as some say, in a "state of permanent reform". Reforms (and against-reform) in the (disunited) European Union (and not only) proved several times somewhat contradictory in uncertain directions, navigating the view with flavors of various winds or blowing a self-regulation and deregulation, or blowing a legal and binding rules.
