Summary/Abstract: This paper is focused on the concept, approach and challenges of public – private – partnership (PPP), in the light of financing and implementation of capital improvement projects. The main issue in this paper is to present the concept and prospectives of PPP in the Republic of Macedonia. This text contains general characteristics, initiatives for private financing, obstacles, facts and advantages of public-private financing. The most important advantage of PPP is to provide implementation of capital improvement investments, predominantly in realization of infrastructure projects, without significantly spending public money, by central budget or through the budgets of local self-government units. Public-private partnerships random possibilities to release budgetary funds for other projects, split risks exposure between public and private sector, utilize competitive advantages of private sector as well as encourage local or foreign direct investments. PPP and project financing as well, are fairly new and unknown concept in the Republic of Macedonia. That’s why this paper is aimed to overcome theoretical framework and to contribute for improvement of practical knowledge, for developing infrastructure projects on based on PPP and private initiatives. In the Republic of Macedonia, private sector intiatives are mainly directed on the following sectors: electricitiy production, electricity distribution, gas collectors and gas distributions, central heating and congenerative facilities, waste watter threatment plants, landfills and solid waste management.The potential investors who want to invest in capital improvment projects in the country based on PPP are faced with some specific constrains like: small market for services consumption, high poverty rate, small consumption power of local population, problems with payment, corruption and viollence of contracts, unsufficient and limited experience in PPP. Appart of this serious problems and chalenges, capital project finance based on PPP is desirable way of investing and financing in the Republic of Macedonia. Factual existence of all these constrains means that private investors must take attention on efficient mechanisms for protection and/or they must identify projects that random desireable return on investments in the relatively risk’s environment.
