On the Representation of Stock Companies in the Light of the First European Union's Directive

Summary/Abstract: The article deals with the representation of stock companies and the accordance of Bulgarian commercial legislation in this field with the First Council Directive (68/151). The Republic of Bulgaria has international obligation to harmonise its legislation with the EU law which arises from the European association agreement. The article focuses on: 1. documents and particulars that must be registered concerning representation of a stock company by its organs; 2. validity of obligations, entered on behalf of the company, viewed in two aspects - as the consequences of acting outside the objectives of the company and the reliance upon third parties of restrictions imposed on the organs of the company. Proposals for amendment of legislation (de lege ferenda) are made to ensure conformity with the First Directive.
