Summary/Abstract: The article discusses problems connected to the proper regulation of the corporate law. The review of the existing norms in this scope in Poland leads the author to the conclusion of the validity of the regulation contained in the Commercial Code, on the basis of which the entrepreneur’s name was a transferable good. The criticisms is then raised by the existing normalization contained in the Civil Code, excluding the sale of the entrepreneur’s name, while the solution included in the project of the first book of the Civil Code returning to the idea of business transferability should be accepted with approval. The author believes that the entrepreneur’s name is not a personal good, but material, having a specific economic value and usually constituting an important component of the entrepreneur’s assets.
