Transformation of an employment cooperative into a commercial company – the analysis of transformation

Summary/Abstract: On 1st July 2011 came into force the act on reducing administrative barriers for citizens and businesses dated 25th march 2011. The abovementioned legal act introduced to Polish legal system, through provisions of the act on cooperative law dated 16th September 1982, a new regulation, which enable transformation of an employment cooperative into a commercial company. The implemented amendment is a novum, as by this moment, there were no direct provisions on transformation of the cooperative into the commercial company. Despite lack relevant legal solutions in legal state prior to 1st July 2011, cooperatives undertook various attempts, often unlawful, to change their form of conducted economic activity. The aim of this article is to present the process of transformation of the employment cooperative into the commercial company on the basis of previous and current legal regulations.
