Summary/Abstract: In Romania, the principles of corporate governance apply only to large private or public companies, due to lack of information, transparency, poor training of managers, legislative incoherence. The research has as purpose some international comparisons on common principles existing in Romania’s Corporate Governance Code and in other codes of developed or developing countries (Great Britain, France, Germany, Austria, Italy, Spain, Portugal, Greece, Belgium, Sweden, Denmark, Bulgaria, USA), with additions of principles / recommendations existing only in codes of developed countries.
