Summary/Abstract: In companies organized as corporations capital owners are not in a position to directly manage business processes which means that they do not have direct influence on asset management or business goal achievements. This implies the need for a controling body within the organization which will supervise, appoint and control the work of company management. This role belongs to supervisory boards. The role and tasks of supervisory boards point out the importance they have for successful business, protection of shareholders interests and of other interest groups. This paper tries to identify tasks and roles of supervisory boards, and to indicate the importance of their activities. Importance of the supervisory board implies the need for realistic and rational approach to the selection of its members which is the main factor for their quality work.
