THE LIMITED LIABILITY COMPANY - "ANIMAL FARM" IN THE NAME OF THE COMPANY DEPENDING ON LEGAL PARTNER SUBJECTIVITY

Summary/Abstract: The aim of this article is to identify the hazards that can occur in business as a result of establishment of a disregarded entity limited partnerships. The name of LLC limited partnership misleads commer-cial transaction parties as to the partner person In this legal construction there is the legal merger of the characteristics of partnerships and companies in one organizational- legal form. A necessary element of the name is an indication of the legal personality of an accomplice. In the case of a limited liability partnership it has a double meaning. First, it directs where to look for the right to represent the company and the conduct of its affairs. Secondly, it is a warning against the real limited liability of the general partner for the obligations of the company. The dogmatic method of research, analytical research method and analysis of the case law were used in the course of the research.
