Summary/Abstract: The objective elements of a licensing contract that are significant include: the entitlementto use an invention protected by a patent granted to a licensee and the use ofthe invention by a licensee in the scope for which the licence was granted. A licensingcontract “creates a relation of special trust in and cooperation between the parties”,which influences determination of contractual obligations (contract interpretation) aswell as may limit the scope of contract freedom. Determination of the territorial rangeof a licence following the EU pattern does not constitute an essential term (essentialianegotii) of a licensing contract but a non-essential objective element of the legal transactioncontent (naturalia negotii).
