DIRECTORS AND OFFICERS LIABILITY INSURANCE

Summary/Abstract: Directors and officers liability insurance is an institute that is becoming increasingly important. As the economic and legal environment of the twenty-first century is characterized by an increase in the number of regulations regarding corporate directors, and by the permanent rising of the standards of their liability, it is difficult to imagine contemporary business without having the institute which decreases corporate risks. This article gives introductory information about directors and officers liability insurance, by focusing on the notion and its importance to corporate governance. The article is divided into two parts. After making distinctions between different meanings of the notion of directors and officers liability insurance, the author points out the persons who could be covered by this type of insurance. Executive and non-executive directors, dependent and independent directors, members of the board of directors are analyzed as insured persons, with emphasis on the differences in the conditions of the respective coverage.
