Summary/Abstract: This paper aims to illustrate the development of the basic characteristics of takeover law in Europe, and in particular the harmonisation process of takeover law in the European Union, which has led to the adoption of the EU Directive on takeover bids. The paper suggests some Directive solutions and points current situation in the development and harmonization process of takeover law. Development of takeover law in Europe, with different legal systems in different countries and harmonization of activities in the European Union highlights the importance of the market for corporate control and the different national interests, which after many years of trying to harmonize led to the adoption of the Directive on takeover bids. The Directive establishes minimum requirements for Member States and leaves considerable room for variations which significantly affect the extent and effects of harmonization in the application.
