Summary/Abstract: Contractual regulation of internal relations of founders of LTD companies appears as question of grave importance. Having in mind obvious under regulation in area of company law regarding internal relations of founders the questions arise if it is possible to override obvious problems in practice. Author advocates for implementation of contractual freedom in company law and suggests examples where such application would be useful. Author advocates contractual regulation of questions such as ways of termination of companies, application of Tag-Along and Drag-Along rights, as well as resolution of deadlock in the company and usage of Call option.
