Summary/Abstract: The small and medium family business usually arise with a simple structure, in which the owner has the maximum authority and all employees depend on it. The complexity of this operation arises due to several factors including: the company grow, the succession generational, assignment of roles by affective bonds between the founder and successors, new hierarchies appear without a restructuring of the organizational chart oriented to efficiency, creating an excess of managerial positions and confusion in the workers when receiving instructions from different bosses. In this article, the family protocol is defined and the different organizational configurations are analyzed, using the Mintzberg proposal, with the aim of generating an overview of structural change, conflicts and tensions due to inadequate planning around the needs of the business. The methodology is qualitative with documentary review and case study of a tourist company in México. The results allow us to understand the origin of conflicts, the loss of competitiveness when carrying out functions and responsibilities without redefining the organizational structure, which has affected the closing of some businesses and the indebtedness of the case under study.
