Transfer of Partnership Shares from the Capital of a Limited Liability Company. Updated Regulatory Changes

Summary/Abstract: The article investigates the updated regulatory changes in the Commerce Act from December 2017 and February 2018, presenting statutory regulations aiming to suspend the practice that unconscientious merchants transfer their commercial enterprises and the shares in companies of limited liability, having outstanding liabilities and compensations towards employees and officials, as well as social security contributions to the state. Conclusions and recommendations for applying the new regulations, as well as propositions de lege ferender for future improvement of the legislation are made based on the legal analysis.
