Summary/Abstract: Croatian rules on conflict of laws and applicable law are very restrictive, inflexible and old-fashioned. Adoption of certain solutions offered by international courts' practice and the Rome Convention on the Law Applicable to Contractual Obligations, 1980, would verify certain issues, not only in the area of shipbuilding contracts, but also in other areas of Croatian commerce with international aspects.
