Summary/Abstract: Nowadays, the transformation of universities as the main subjects of innovative economy takes place. The university should become part of an innovative, entrepreneurial system. Regional universities should become a center of interaction between society, business, and the state for the commercialization of innovations. The paper considers two models of universities’ participation in the regional innovation system. The first model: the university is treated as a business entity. The second model is related to the formation of the holding. The university becomes a de facto management company for innovative organizations. The new role and active interaction with the business environment require changes in the legal environment of the university. The status of a non-profit state institution significantly limits the possibilities of the university as a subject of competition with commercial organizations that are actively involved in the turnover of intellectual property. The legal status of educational institutions should be focused on the creation of innovative infrastructure, corporate rights management, and participation in public-private partnership agreements. Transformation of the relations inside the university is needed for adoption of the new social role. Many educators and researchers do not support the idea of commercialization of innovations within the university. A complex and closed management system is also a negative factor in the development of business processes within the university. It is necessary to change the civil legislation of the Russian Federation in terms of regulation of the legal status of educational organizations. The need for development of the regional legislation in terms of securing the status of regional universities as centers of innovation has been proved. It has been suggested to consider the university as a complex social and corporate structure.
