Summary/Abstract: Fast and often chaotic changes occurred within the post-December Romanian society have affected and influenced, in a negative way, all social and economic fields and especially the legislative one. The commercial law is one of the legislative field mostly exposed to changes, and within it the juridical regime applicable to merchants. In this context, starting with the aims of the Urgent Government Decision (UGD) nr. 44/2008 (decrease of bureaucracy, simplification of authorization process and registration of small merchants – authorized natural persons, individual or family enterprises – shortening the time to issue the authorization and consequently stimulation of business environment and creation of new employment positions) we have analyzed the legal provisions regarding the subjects referring of and some of the terms defined by this normative act, irrespectively: economic activity, economic enterprise, patrimony affected to. From the analyze, it resulted that the imprecision of terms, confusion of notions or a wrong use of juridical concepts make that a lot of the provisions of UGD no. 4/2008 do not respond to the aims enunciated within the preamble of this normative act.
