Legal limitations of the administrator’s right of concluding disposition documents on behalf of the company

Summary/Abstract: The administrating power confers the administrator of the company the right to a „social signature”, the right to express the will of of the company, of concluding legal documents on its behalf and of engaging its liability in relationships with third parties. In other words , the administrator is authorized to conclude with third parties all the legal documents imposed by the administartion of the company , including documents of disposition. However , in respect of such documents, the law requires some restrictions that limit the administrator’s right to conclude documents on behalf of the company
