Registration of securities between tradition and modernity

Summary/Abstract: The loyalty obligation is one of the essential obligations of the company director. As it is less studied in our domestic law, in the present study we propose, on the one hand, to search for the significance, the sources of regulation, the basis, the beneficiaries, the content and the consequences of the loyalty obligation, and, on the other hand, to identify certain issues which it generates in the practice.
