Summary/Abstract: Takeover bids, ie public proposals for the purchase of participating securities, which will allow the petitioner to control the company, are among the most interesting phenomena of economic and legal life. Especially in Anglo-Saxon countries, they are a common means of controlling corporations (so-called target companies). But the continent is not far behind either; in 1990, the volume of takeover bids was higher for the first time than in the UK, and has been steadily increasing since then.
