Summary/Abstract: The cross-border merger is essential for promoting the european companies movement. Beyond its importance in exercising the freedom of establishment for companies in the European Union, the communitarian legislator provided a legal regime for this legal vehicle after a very long period of opposition from the member states. The article aims to analyse the legislative process of cross-border merger, from Rome Treaty to Nisa summit, through Sevic decision of the European Union Court of Justice, to the Directive 2005/56/CEE on cross-border mergers.
