Commentary on the judgement of the Polish Supreme Administrative Court issued on 8th October 2019, II FSK 872/19

Summary/Abstract: The commentary contains arguments that challenge a judgement of the Polish Supreme Administrative Court (NSA) issued on 8th October 2019, II FSK 872/19 regarding the apparent legal transactions and tax consequences resulting from the concluded donation agreement. NSA referring to the monistic concept of the appearance of a legal act, concluded that, in this case the appearance of a legal act occurred, and simultaneously the parties did not conclude a donation agreement, but perform a complex legal act of a pecuniary nature, which was associated with the tax obligations. In the author’s assessment, the essence of the NSA argumentation concerning the tax consequences of the agreement concluded in May 2012 in effect approach to apply a civil law structure to create an effect that became possible after the introduction of a tax evasion clause into the Polish legal system.
