Summary/Abstract: According to Company Law no. 31/1990, the appointment and dismissal of a manager falls under the competence of the general meeting of shareholders. Although courts are reluctant in intervening in the functioning of a company in the way of appointing and revoking managers, still, under certain circumstances such as when the deciding body is blocked or is otherwise in some kind of impossibility, the appointment of the an interim manager is justified. An interim manager is a representative appointed by court ruling in cases when the normal functioning of a company is prevented.
