Summary/Abstract: The criminal liability of legal person is connected with many problems. The problem of acting on behalf of company in criminal proceedings is very topical especially if the statutory representative is in conflict of interest. The article looks just their conflict of interest if they and their company are in position of accused or a witness. The work tried to offer such an interpretation that takes into account the purpose of criminal proceedings and the right to defense.
