Summary/Abstract: Liquidation is a “binding effect” of the dissolution and by that we consider that its fulfillment is self-evident because in the absence of its fulfillment, the defining elements of the dissolution, achieved through liquidation, namely the exercise and realization of the rights due to the legal person and associates, as well as the payment of the liability if required. In other words, the legal person does not cease to exist as soon as it has been dissolved but only after its assets have been realized and its liabilities paid.
