NEW REGULATIONS ON THE SPECIAL SALE OF GOODS, UNDER THE CONDITIONS OF O.U.G. NR. 140/2021

Summary/Abstract: The sale is the most complex special contract, and the sale of consumption – the most used by consumers. In this context, product sales relationships between professionals and consumers have benefited from several regulations in recent decades. The last normative act, in the field, is O.U.G. nr. 140/2021 on certain aspects of contracts for the sale of goods. The emergency ordinance establishes the legal framework of the sales concluded between the seller and the consumer, with special reference to the conformity of the goods, the corrective measures in case of non-conformity, as well as the commercial guarantees necessary for the proper functioning of the internal market. The study analyzes in principle, the peculiarities of the sale regulated by the special law, with frequent references to the common law in the field, but also to the legal regime previously established (Law no. 449/2003, in force for about 14 years). The work is structured in four sections: "Sale of consumption – variety of common law sale. Regulation", "Object of special sale of goods", "Seller's liability" and "Commercial guarantees".
