Summary/Abstract: As a consequence of succesive and uncorrelated legislative changes, the need for corroborated interpretation of legislation belonging to different branches of law – in this particular case, corporate law and labour law – naturally occurs. Establishing the right way the legal nature of the legal report between a company and its directors is not only a challenge in theory, but an acute problem for jurisprudence, starting up with the material competence of the courts and the correct setting of applicable legal provisions. Therefore, the present study aims to set the main criteria in order to facilitate the distiction between directors stricto sensu and directors-employees in the same company.
