Summary/Abstract: The present paper intends to present some critical considerations on the evolutionary cycle of the European continental law of commercial companies and partnerships that covers the first half of the 20th century. It focuses particularly on the German innovations represented by the introduction of the private limited liability type of company, and in the reconstruction of the relationship between the shareholders and the management brought by the German Public Limited Liability Company Law of 1937. These are two fundamental key areas for understanding the shape of the modern European-continental company law.
