Summary/Abstract: The author deals with the study of shareholder agreements, also known as syndication of shares, whose utility is to ensure that the resolutions adopted by the syndication shareholders in the limited corporation, must be met when they exercising their right to vote at meetings, achieving linking those who subscribe, so that undertake to comply with the agreement, and the agreement also serves to bring together social minorities in order to make that certain decisions get locked in assemblies, decisions that may affect their interests and rights, be they legal or statutory, by avoiding, via the Shareholder Syndication Agreement, reach qualified majorities that are required for the adoption of these agreements, and finally, they are also useful to get the engagement of sale of stock packages from partners.
