Summary/Abstract: Rezumat: Acest studiu analizează problema de compatibilitate dintre materia dreptului comun, pe de o parte, şi procedura insolvenţei, pe de altă parte. Deşi poate părea doar o simplă chestiune de stabilire a prevalenţei legii aplicabile, lucrurile se pot complica în momentul în care se ajunge în punctul în care se analizează prevalenţa între două norme care pot fi calificate, în egală măsură, speciale. În concret, analiza de faţă va dezbate efectele juridice ale cererii de desemnare a unui practician în insolvenţă dacă creditorul solicitant este un afiliat al debitorului, posibilitatea adjudecării în procedura insolvenţei, ca procedură execuţională concursuală, a unui bun de către un afiliat al debitorului, procedurile de restructurare „out – of – court” şi reglementarea acestora, consecinţele calificării planului de reorganizare drept un contract judiciar, situaţiile în care regula de drept „prior tempore, potior iure” este inaplicabilă materiei insolvenţei, tratamentul juridic special al creanţelor sub condiţie suspensivă în cadrul unui plan de reorganizare, valabilitatea unor reglementări la nivel contractual care ar intenţiona să restricţioneze anumite drepturi la care creditorul ar avea vocaţia în procedura de insolvenţă. Abstract: This study examines the issue of compatibility between the civil law, on the one hand, and the insolvency procedure on the other. Although it may seem just a matter of determining the prevalence of the applicable law, things can be complicated when it comes to the point where the prevalence between two rules that can be equally qualified is also analyzed. In particular, this analysis will discuss the legal effects of the application for the appointment of an insolvency practitioner if the applicant creditor is an affiliate of the debtor, the possibility of adjudicating in insolvency proceedings as a conciliatory executing procedure of an asset by a debtor's affiliate, „out - of – court” restructuring and the regulation thereof, the consequences of the classification of the restructuring plan as a judicial contract, situations in which the rule of law prior tempore, potior jure is inapplicable to the matter of insolvency, the special legal treatment of claims under suspensive condition within the framework of a restructuring plan, the validity of regulations at the contractual level which would seek to restrict certain rights to which the creditor would be entitled in insolvency proceedings.
