Regarding the stakeholders’ special assemblies. The legal adminissibility of the action for annulment of the decisions of stakeholders’ special assemblies

Summary/Abstract: The issue of stakeholders’ special assemblies, specially the idea regarding the legal admissibility of the action for annulment of their decisions, based on art. 132 in Law no. 31/1990 – Law of companies – republished with subsequent completions and modifications, is of high interest both for theoreticians and practitioners in the field of law. Analysing the legal regulations and the doctrine in the field, in the interpretation and application of Law no. 31/1990, considering the judicial nature of special assemblies, the judicial regime of the decisions of stakeholders’ special assemblies, the relation between general and special stakeholders’ assemblies, jurisdictional control can be exercised upon the decisions of the stakeholders’ special assemblies by bringing an action for annulment, based on art. 132 in Law no. 31/1990 – Law of companies – republished with subsequent completions and modifications.
