Strategic alliances, joint ventures, and franchising are established by contract between at least two independent companies as part of their strategy for growth and expansion. Franchising is one of the oldest methods, often used in developed countries. The use of franchising as a growth strategy has significantly increased in Europe and the US in recent years. As both parties in a franchising relationship are economically interdependent, but legally dependent (Michael, 2000), franchising as an organizational form can be looked at from a legal and an economic perspective and as a possible alternative for the integration of production and distribution undertakings in a single organization (Emmerson, 1990).

The current franchise model of enterprise development has evolved for centuries. Franchising in its contemporary form was initially developed in the American market, but owing to its universality, this model has gained supporters among entrepreneurs all over the world. Today, it is successfully applied in Poland, where nearly 1,2000 networks, both in the trade and services sectors, follow this model of development. This is so even though franchising is not regulated in detail by law in Poland, and the franchise agreement operates as an innominate contract in the legal order. The legal framework underlying franchise relationships is anchored in various regulations, in particular, those devoted to combating unfair competition.

Before the political transition, franchising was an unknown business model, but it became very popular in the ’90s and at the beginning of 21st century. The word franchising also seemed very attractive to Hungarian entrepreneurs, even a book was published with the title: Franchising is the entrepreneurs’ secret weapon? Many experts thought this could be the solution for several problems of our economy. Many networks started to use the word for their systems, without following the real ethical rules of franchising, because they could easily find investors. Even nowadays we can find Google AdWords promotion with the slogan: Join our system, no franchise fees, no royalty! Therefore, education about this business model is still very important. There are many good examples to follow in the franchise sector, not only international, but Hungarian ones as well.

Foreign franchising emerged in Slovenia during the 1980s. Afterwards, it continued in various forms. The eighties of the twentieth century were the years when the common state began to fall apart. However, these were the years when Slovenia was the most developed republic of the Yugoslav federation, which included high levels of both exports and imports. One may observe three main fields where franchising first appeared. Car rentals, credit cards and hotels can be found in this group of imported franchise companies.

Small and medium enterprises and entrepreneurs (SMEs) are a significant segment of the Serbian economy: they make up 99.8% of total active enterprises, employ almost 2/3 employees in the non-financial sector and participate with 57.7% in the GDP of Serbia. Every tenth company exports goods or services. Research on this segment of the economy, such as the “1,000 Employers Survey” of the USAID Project for Better Business Conditions, shows that only a third of small and medium-sized enterprises cover the entire Serbia, which means that others are trading with nearby neighbors. Even though, small and medium-sized enterprises and entrepreneurs (SMEs) make up the most significant, most efficient and vital segment of the economy of the Republic of Serbia, bearing in mind their contribution to the increase in employment, gross added value and real turnover.

Implementation of a variety of business models of internationalization contributes to overcoming the limited size of national markets. Today’s global competitiveness recognizes the necessity for qualitative and quantitative improvement of the process of internationalization of companies. The internationalization process is important as an enabler of national competitiveness and as a strategic option for businesses. As a process of integration in international activities, internationalization enables companies to expand their operating activities across the border of their national markets on the one hand and on the other, it determines and influences the market size of an economy as one of the determinants of competitiveness of economies. Organizations need to choose how to enter a market. Entry modes differ in the degree of resource commitment to a particular market, and the extent to which an organization is operationally involved in a particular location ( Johnson et al., 2008). The key entry mode types are: exporting, contractual arrangement through licensing and franchising; joint ventures and alliances, and foreign direct investment. By expanding its markets internationally, a firm can bypass limitations in the domestic market ( Johnson et al., 2005).

Biurokracja europejska i ekspansja regulacji europejskich jest uważana za jedną z głównych przyczyn narastającej fali eurosceptycyzmu. W odpowiedzi na te wyzwania Komisja Europejska zapoczątkowała wiele działań, m.in. Program sprawności i wydajności regulacyjnej REFIT (Regulatory Fitness and Performance Programme) i Program inteligentnej regulacji (Smart Regulation). W programie REFIT Komisja podjęła zobowiązanie do tworzenia prostych, jasnych i przewidywalnych ram regulacyjnych dla biznesu, pracowników i obywateli. Ma to być osiągnięte poprzez: ograniczenie biurokracji, usuwanie zbędnych obciążeń administracyjnych, uproszczenie i poprawę projektowania i jakości ustawodawstwa, tak aby cele polityczne i korzyści dla Unii Europejskiej były osiągane po najniższym koszcie i z minimalnym obciążeniem administracyjnym, z poszanowaniem zasad traktatowych, a w szczególności pomocniczości i proporcjonalności. Program REFIT zakłada dokonywanie przeglądu całości ustawodawstwa unijnego w sposób systematyczny i postępujący w celu identyfikacji obciążeń, niespójności, nieefektywnych środków oraz w razie potrzeby podjęcia odpowiednich korekt. European Commission assess state aid measures relying on a set of predefined criteria. If an aid measure complies with these criteria, it is deemed that the positive effects of a planned aid outweigh its negative effects on competition and trade without a sufficient evaluation of its actual impact, though the latter could actually significantly contribute to the decision-making process in order to improve the design of future public interventions and rules governing state aid. This concern has been echoed in the European Court of Auditors’s 2011 Special report: ‘Do the Commission’s procedures ensure effective management of State aid controls?’, where the Tribunal finds that ‘the Commission does not assess the ex post impact of State aid in a comprehensive way’. The paper aims to investigate this problem. It is divided into three parts that correspond to the following three lines of inquiry: (1) what is the practice of granting State aid in the EU in terms of its volume and category, (the objectives for which aid is targeted), is the overall state aid volume decreasing or not, and are there shifts in state aid priorities; (2) how is the EU state aid control conducted, what are the developments in this field stemming from the postulate on the greater reliance of economic insights; and finally (3) what problems concerning the EU state aid control still need to be addressed in order to improve its effectiveness. To this end, statistical analysis is applied based on EUROSTAT data.

Wspólna zewnętrzna polityka handlowa Unii Europejskiej powinna skupiać się na dwóch uzupełniających się aspektach. Z jednej strony jest to otwieranie rynków zagranicznych dla producentów europejskich, z drugiej zaś liberalizacja stosowanych w imporcie środków handlowych umożliwiających łatwiejszy dostęp do zasobów przy jednoczesnej dbałości o zachowanie odpowiedniej presji konkurencyjnej. Kierunek rozwoju wytyczony na początku XX w. jest nadal aktualny i wspierany w strategii Europa 2020. Czy zapowiadane zmiany, jakie mają objąć wspólną zewnętrzną politykę handlową, rzeczywiście następują? Jak Unia radzi sobie ze wspieraniem dostępu do rynków trzecich? W 2013 r. Unia Europejska rozpoczęła negocjacje z Japonią – jedną z największych światowych gospodarek i ważnym partnerem gospodarczo-handlowym UE na kontynencie azjatyckim. Celem rokowań jest kompleksowa umowa handlowa ustanawiająca między stronami strefy wolnego handlu nowego typu. Umowa ta jest zaliczana do grupy tzw. porozumień megaregionalnych, obejmujących swoim zasięgiem partnerów o dużym potencjale gospodarczym i mających znaczący wpływ na globalne przepływy handlowe i inwestycyjne. Celem artykułu jest identyfikacja najważniejszych wyzwań w zakresie zwiększenia dostępu do japońskiego rynku dla europejskich towarów, usług oraz inwestycji. W artykule podjęto próbę przedstawienia najważniejszych barier w dostępie do rynku Japonii z perspektywy europejskich przedsiębiorstw, co automatycznie pozwala na zestawienie najważniejszych wyzwań, przed jakimi stoją negocjatorzy Komisji Europejskiej.

The recent decision by the European Commission (EC) prohibiting Siemens from taking over Alstom was perceived by their respective German and French governments as a blow to plans to create a “European champion” in the railway sector. Both states declared that they will strive to change the EU competition rules that prevent similar transactions. According to the traditional approach to competition protection, the implementation of most of the proposals would have negative consequences for the EU economy and indirectly for Polish enterprises and consumers.

Decyzja Komisji Europejskiej (KE) zakazująca Siemensowi przejęcia Alstomu została odebrana przez rządy Niemiec i Francji jako cios w ich plany utworzenia „europejskiego czempiona” w sektorze kolejowym. Oba państwa zadeklarowały, że będą dążyć do zmiany unijnych reguł konkurencji stojących na przeszkodzie tego typu transakcjom. W świetle tradycyjnego podejścia do ochrony konkurencji realizacja większości zapowiedzi pociągnęłaby za sobą negatywne skutki dla unijnej gospodarki, a pośrednio dla polskich przedsiębiorstw i konsumentów.

Unia Europejska pracuje nad stworzeniem wykazu pozaunijnych rajów podatkowych. Ma on zapobiegać unikaniu opodatkowania przez korporacje. Może się jednak okazać nieskuteczny w walce z transferem nieopodatkowanych zysków poza UE. Polska, jako państwo tracące nawet do 10 mld euro rocznie na unikaniu płacenia CIT, może dołączyć do grupy państw najaktywniej zabiegających o zacieśnianie współpracy w tej dziedzinie.

If the proposal is accepted in the shape presented by the EC, it will be a breakthrough solution on a global scale that adjusts labour law to the challenges of the digital economy. It will also strengthen the EU’s position in relations with platforms.

Shaken by the experience of the COVID-19 pandemic and Russia’s full-scale aggression against Ukraine, the EU has adopted a series of legal acts to reduce dependence on authoritarian powers, create new instruments to defend against unfair competition, and facilitate the modernisation of the industrial sector. The smooth implementation of the green and digital transitions will be crucial to the success of these measures, but it requires additional financial resources. Furthermore, the drive to increase self-sufficiency in strategic sectors and build a low-carbon, sustainable economy is difficult to reconcile with a liberal approach focused on deregulation and short-term profit maximisation.
