Summary/Abstract: The article presents issues concerning a merger planned by the Polish authorities which aims to combine the largest Polish company – Polski Koncern Naftowy Orlen – with the second largest liquid fuel production company in Poland, Lotos Capital Group.The main purpose of the report is to systematize the knowledge on the restructuring and the privatisation of the Polish oil sector covering the entire period of the political transformation,i.e. 1990–2018. From the perspective of the governmental plans for domestic capital groups’ development, the article highlights an enormous instability and shifts in the policy of the Polish state with respect to the liquid fuels sector during the transformation period.As a conclusion, it has been pointed out that almost thirty years after the beginning of thetransformation, the Polish authorities are employing their assets not to create a globally significant company, but only a locally influential one.
