The Legal Consequences of Finding Irregularities by Company Registration: Regulation and Nullity of the Company

Summary/Abstract: Civil Code, the rules of which constitute common law firms, establishes rules for carrying extra the event of contract company which is a legal entity. The Civil Code requires some form and a minimum content of the contract company, restrictedly and expressly lists the cases of nullity of the company with legal personality. Whether the entity is born has or not legal personality, the legislator provided special rules, derogating from the general law, the situation of non-compliance with legal requirements concerning establishment of companies, which leads us to conclude that saving the company is legislator’s intention, invalid is only except. In the following pages we will treat issues related to regulation and nullity society.
