The changing of the corporate prototype: from the Joint Stock Company to the Limited Liability Company

Summary/Abstract: The Law No. 31/1990 concerning companies gives greater attention regulating joint stock companies, configuring a more advanced form of company in what concerns functioning mechanisms compared to the limited liability company whose legal regime is superficial, benefiting of few legal provisions. The legal norms referred to the joint stock companies or other legal provisions are not sufficient to ensure the proper functioning of the limited liability companies. We proposed a review of several of the most important articles concerning limited liability companies and taking into consideration the proposals for new legislations (“de lege ferenda”) expressed in the doctrine related to the existing precedents who oriented the interpretation of the texts of Law No. 31/1990 in a certain sense, would improve the legal framework reserved to limited liability companies, giving both consistency and protection to this certain company type.
