The protection of creditors from the perspective of Law no. 31/1990 regarding companies: opposition to the shareholders decision on transferring shares

Summary/Abstract: The company's creditors and any other person who suffered damages due to the shareholders decision regarding the transfer of shares can submit an opposition by which to request the court to compel, as the case may be, the company or the shareholders to repair the damages caused, as well as, if necessary, the civil liability of the shareholder who intends to give his shares. The transfer of the shares will operate, absent of an opposition, at the expiry date of the opposition term provided by art. 62 of Law no. 31/1990 regarding companies, and if an opposition was made, at the date of communication of its rejection.
